Chapter 1: Welcome to HEMEKO Lab!Article 1 (Purpose)Thank you for using the diverse services provided by Hemeko Inc. (hereinafter referred to as the "Company") through platforms such as the internet and mobile (hereinafter referred to as "HEMEKO Lab"). The Company has prepared these Terms of Service (hereinafter referred to as "Terms") to make your use of HEMEKO Lab more enjoyable. These Terms outline the rights, obligations, and responsibilities necessary for using the services, so please read them carefully.Article 2 (Definitions)1. HEMEKO Lab: Refers to the platform operated by the Company, which provides diverse goods or services offered by sellers to users via the internet and mobile, intermediates transactions between sellers and users, and also serves as a space where the Company or users can post diverse creative content. This term is also used to refer to the business entity operating the platform.2. Service: Refers to services provided or to be provided by the Company through HEMEKO Lab, including communication spaces for users via content and intermediating transactions between sellers and users.3. User: Refers to members and non-members who access HEMEKO Lab and receive services provided by the Company under these Terms.4. Member: Refers to individuals (not to entities) who agree to these Terms, register as members of HEMEKO Lab, and use the services provided by the Company.5. Non-member: Refers to individuals who use the services provided by the Company through HEMEKO Lab without registering as members.6. Seller: Refers to individuals or entities that sell products or perform related activities using the services provided by the Company on HEMEKO Lab.7. Direct Sale Service: Refers to services in which the Company acts as a seller to sell products through HEMEKO Lab, including all related ancillary services.8. Intermediary Service: Refers to services in which the Company intermediates transactions between users and sellers on HEMEKO Lab, including all related ancillary services.9. Product: Refers to goods or services sold by sellers to users through the services.10. Coupon: Refers to a discount voucher that allows members to receive a fixed or percentage-based discount when purchasing products through the services.11. Points: Refers to benefits accrued under specific conditions when members purchase products through the services. Points can be used as monetary equivalents for subsequent purchases on the platform.12. Review: Refers to comprehensive evaluations, in the form of text, images, or videos, that members post on HEMEKO Lab after purchasing products.Article 3 (Specification, Explanation, and Revision of the Terms)1. HEMEKO Lab displays these Terms, along with information such as the Company name, representative's name, business location, business registration number, and contact details (e.g., phone number, email address), on the initial service screen or on a separate linked screen for users to easily access.2. The Company may revise these Terms if necessary, within the scope that does not violate relevant laws. In such cases, the Company will specify the revised contents and the effective date, and will notify users of the changes 7 days prior to the effective date of the new policy (or 30 days in advance for changes disadvantageous to users).3. If a member disagrees with the revised Terms, they may terminate the service agreement and discontinue using the services.4. If a member does not explicitly express their intention to reject the revised Terms within the notification period, it will be considered that the member agrees to the changes. So, if a member has been sent the notice of changes, and continues using the service, the member is consenting to the changes.5. Contracts made before the effective date of the policy changes will follow the previous Terms unless otherwise agreed between the Company and the member. Any terms that have not been amended following the effective date of the Revised Terms are still applicable unless otherwise agreed between the Company and the member. However, if the member expresses their intention to be subject to the revised terms for contracts entered into before the effective date and receives HEMEKO’s consent within the notice period specified in Article 3 of this section, the revised terms will apply.Article 4 (Application of the Terms)1. For matters not defined in these Terms, the Company may establish and operate separate operational policies referring to 3rd party operational services (hereinafter referred to as "Policies") and display them within HEMEKO Lab. These Policies are considered part of the service agreement.2. Matters not specified in these Terms and their interpretation are subject to the Act on Consumer Protection in Electronic Commerce, the Regulation of Terms and Conditions Act, the Guidelines for Consumer Protection in Electronic Commerce Transactions provided by the Fair Trade Commission, and other relevant laws and practices.Chapter 2: How to Use HEMEKO LabArticle 5 (Membership Registration)1. Individuals wishing to become members may apply for membership by completing the required information and expressing their agreement to these Terms.2. HEMEKO Lab shall approve membership registration except in the following cases:① If the applicant is under 14 years of age② If there are false, omitted, or incorrect entries in the applicant's registration information③ If the applicant has previously had their membership revoked under Article 12④ If technical issues make registration unreasonably difficult⑤ If the application violates these Terms, is unlawful, or is deemed improper by the Company3. Membership registration is completed when the Company's acceptance of the application is communicated to the applicant.4. Members must immediately update any changes to their registered information to ensure smooth service provision by the Company. The Company is not responsible for any issues arising from outdated member information.5. The Company may differentiate members by type or level, offering different services or benefits based on the classification.Article 6 (Privacy Protection)1. The Company collects and uses personal information only within the agreed-upon purpose and scope, as necessary to provide the services.2. Users' personal information is safely protected in accordance with relevant laws and the Company's Privacy Policy, which is accessible through a linked screen in the service.3. The Company may share or use personal information beyond the agreed purpose in the following cases:① When requested by law enforcement or other governmental entities through lawful procedures② When necessary to investigate member violations of relevant laws③ When providing information (e.g., name, address, phone number) to sellers or delivery companies④ When necessary for order completion, including returns, exchanges, or refunds⑤ When required by other applicable laws4. Personal information is destroyed without delay once the purpose of collection or use has been fulfilled.5. The Company's Privacy Policy does not apply to external websites linked through HEMEKO Lab. Responsibility for reviewing privacy policies of external sites lies with the user.Article 7 (Duties Regarding Member IDs and Passwords)1. Members are responsible for managing their IDs and passwords. IDs and passwords should not be shared or transferred to others.2. Members are fully liable for any damages caused by improper management or unauthorized use of their IDs and passwords.3. If an ID is deemed inappropriate (e.g., socially unacceptable, potentially misleading as an official account), the Company may restrict its use or impose membership limitations.4. Members must promptly notify the Company of any theft or unauthorized use of their IDs or passwords. The Company will take necessary actions upon notification.Article 8 (Notices and Communication)1. Users may communicate their opinions about the service by contacting customer support at any time.2. The Company may communicate with members via email, phone, or other contact information provided by the member.3. Notices intended for all or most members may be communicated by posting on the HEMEKO Lab service for at least one week instead of individual notifications. However, for significant issues affecting specific members' transactions, individual notifications will be sent.4. Members must ensure that their contact information is up to date and regularly check notifications from the Company.5. The Company is not liable for any disadvantages caused by a member's failure to keep contact information updated or review notifications.Article 9 (Coupons)1. The Company may provide coupons to members at its discretion.2. Coupon usage may be restricted based on product type, transaction amount, or other conditions specified by the Company's operational policies.3. Coupons are valid only for the specified period and may only be used by the member to whom they are issued.4. Coupons cannot be sold, transferred, or shared with others.5. Coupons acquired through improper means will be invalidated and may be reclaimed by the Company without prior notice.Article 10 (Points)1. Points can be used only for purchasing products through HEMEKO Lab and cannot be converted into cash or transferred to third parties.2. Point accumulation, usage conditions, and expiration are governed by the Company's policies.3. Points expire after the specified validity period and are forfeited upon membership termination.4. Improperly acquired points will be invalidated or reclaimed by the Company.5. Points are used in order of earliest expiration date, and any unused points are forfeited upon membership termination.6. If a member acquires points through improper means, the Company may invalidate or reclaim such points without prior notice.Article 11 (Reviews)1. Members may post reviews about purchased products on HEMEKO Lab, and the copyright and intellectual property rights of such reviews belong to the members who wrote them.2. Members are responsible for resolving any disputes with third parties regarding copyright infringement or other issues arising from their reviews.3. The Company may delete or restrict the display of reviews without prior notice if they violate any of the following:① Infringing on others' rights, reputation, credit, or other legitimate interests② Violating relevant laws, these Terms, or public order and morals③ Content related to criminal activities④ Content containing false or exaggerated advertising⑤ Content containing obscene, violent, or harmful material, or promoting such content through links⑥ Content containing malicious code or spyware that may cause malfunctions⑦ Content required to be removed by law or government authorities⑧ Content deemed to interfere with service operations⑨ Content unrelated to HEMEKO Lab services or product transactions⑩ Other cases deemed necessary under the Company's review operation policies4. The Company may use reviews for service improvement, new service development, personalized recommendations, and other service-related purposes without compensation, and may modify, reproduce, edit, or distribute them without changing their essential content. However, members may request deletion or non-disclosure of their reviews.5. Even after membership termination, reviews posted by the member will remain visible unless the member specifically requests their deletion before termination.Article 12 (Membership Termination and Revocation)1. Members may terminate their membership at any time, provided there are no ongoing disputes with the Company or outstanding payments.2. The Company may restrict, suspend, or revoke membership in the following cases:① Actions that interfere with or attempt to interfere with normal service operations② Actions that interfere with the Company's business③ Failure to fulfill payment obligations for products purchased through the service or other obligations to the Company④ Actions that infringe upon other members' rights, reputation, credit, or other legitimate interests⑤ Violations of these Terms, operational policies, laws, public order and morals, or normal e-commerce practices, or when there are reasonable grounds to suspect such violations⑥ When conditions for membership denial under Article 5 are discovered after registration3. If a member whose membership has been restricted or suspended repeats the same behavior twice or more, or if the cause is not rectified within 30 days, the Company may revoke their membership.4. When the Company terminates a membership agreement, it will notify the member of the reason via email or other means. The Company may provide an opportunity to appeal within 30 days before membership revocation.5. Upon membership revocation, all benefits including coupons, points, and other privileges are immediately forfeited, and the member waives all rights to such benefits.6. When membership is revoked, the Company will immediately delete the member's personal information, except for information required to be retained by law or the Privacy Policy.Chapter 3: HEMEKO Lab ServicesArticle 13 (Provision and Changes to Services)1. HEMEKO Lab provides the following services:① Direct Sale Services② Intermediary Services③ Other related services to the above2. If there is a need to change the content of goods or services due to reasons such as stock depletion or changes in technical specifications, the Company will immediately announce the changes and their effective date on the same screen where the current goods or services are displayed.Article 14 (Company Obligations)1. The Company shall make every effort to provide continuous and stable services in accordance with these Terms and in compliance with applicable laws and good social order.2. The Company shall implement security systems to protect users' personal information and ensure safe service use.3. The Company shall address and resolve valid opinions or complaints raised by users.4. The Company shall not send unsolicited advertising emails to users who express that they do not wish to receive such communications.Article 15 (User Obligations)1. Users must comply with these Terms, the Company's policies, and relevant laws.2. Users shall not engage in the following activities:① Infringing on the intellectual property or rights of the Company or third parties② Transferring or assigning their rights and obligations under these Terms③ Encouraging or conducting direct transactions outside the HEMEKO Lab platform④ Disrupting the Company's business or engaging in fraudulent activities⑤ Misusing payment systems for illegal transactions or other improper financial activities⑥ Accessing HEMEKO Lab's information systems through unauthorized means⑦ Posting or distributing obscene, violent, or otherwise socially unacceptable content⑧ Engaging in other activities that harm the Company, its users, or violate laws and good order⑨ Sending malicious code or spyware that may cause system malfunctions⑩ Any other activities similar to the above that may infringe on the rights of the Company or third parties or threaten e-commerce order3. The Company may take actions such as restricting membership, forfeiting benefits, or legal measures for violations of these obligations.Article 16 (Service Interruption)1. The Company may temporarily suspend services for maintenance, upgrades, or unavoidable circumstances, with prior notice at least seven days in advance. In emergencies, notice may be given afterward.2. The Company is not liable for damages arising from service suspension unless caused by intentional or gross negligence.3. In cases of force majeure, such as natural disasters, hacking, or third-party failures, the Company will notify users and is exempt from liability.Article 17 (Limitation of Liability as an Intermediary)1. For intermediary services, HEMEKO Lab acts as an intermediary for transactions between users and sellers and does not directly participate in the transactions. The Company is not liable for disputes arising between these parties.2. The Company does not guarantee or verify the intent, authenticity, or quality of goods or services exchanged between users and sellers.3. The Company does not represent or guarantee users or sellers in any case related to their use of intermediary services.Article 18 (Contract Formation)1. Contracts for goods or services are formed when a user agrees to the seller's terms, and the seller confirms the order.2. Users may pay using methods provided by HEMEKO Lab, such as bank transfers, credit cards, or electronic wallets.3. Users are responsible for the accuracy of payment details and bear any resulting liabilities.4. The Company displays order confirmation details through the "My Shopping History" section and provides guidance on cancellation methods and procedures.5. The Company may verify whether users have legitimate rights to use their chosen payment methods, and may suspend transaction processing until verification is complete or cancel transactions that cannot be verified.6. For purchases made by minors, the contract may be cancelled by either the minor or their legal representative if the legal representative has not consented to the contract.7. The actual payment amount for users is the final price (actual purchase price) that reflects the supplier's base price, basic usage fee, product discount coupons, shipping fees, and option details. Purchase receipts (cash receipts, tax invoices, credit card statements, etc.) will be issued based on this actual purchase price.Article 19 (Purchase Applications)Users apply for purchases through the following steps, which the Company must clearly present:① Search and selection of products② Entering recipient information (name, address, phone number, email)③ Reviewing terms such as additional fees or restrictions on order cancellations④ Confirming purchase and agreeing to terms⑤ Choosing a payment methodArticle 20 (Shipping and Order Completion)1. The Company is not responsible for disputes between users, sellers, or delivery companies regarding shipping, except where legally obligated.2. Users must confirm receipt or request an exchange/return for received goods within seven days of delivery. If no action is taken within this period, the transaction may be automatically confirmed.3. After transaction confirmation, any disputes must be resolved directly between the user and the seller, and the Company will not be involved in such disputes.4. After transaction confirmation, disputes must be resolved directly between the user and the seller.Article 21 (Payment Methods)1. Users may pay using any of the following methods:① Bank transfers, internet banking, or similar methods② Debit cards or credit cards③ Virtual account deposits④ Electronic payment systems⑤ HEMEKO Lab points or other benefits⑥ Other electronic payment methods2. The Company is not responsible for issues arising from user-input payment details unless due to Company negligence.3. Payment processing may be delayed in case of technical issues, and users will be informed of alternative methods if necessary.Article 22 (Order Notifications and Modifications)1. The Company notifies users of order confirmations upon receiving a purchase application.2. Users may modify or cancel orders before shipping by promptly contacting the Company. Refunds for paid orders follow Article 25.Article 23 (Supply of Goods)1. Unless otherwise agreed, the Company will ship goods within seven days of order confirmation. If payment has been made, shipment will occur within three business days of payment receipt.2. The Company provides shipping details such as delivery method, fees, and timelines.Article 24 (Refunds)1. If goods cannot be supplied due to stock issues or other reasons, the Company will inform users and cancel the transaction. Refunds will be processed within three business days of the cancellation notice.Article 25 (Order Cancellations and Returns)1. Users who have entered into a purchase contract with HEMEKO may withdraw their order within 7 days from the date of receiving the contract document pursuant to the Act on Consumer Protection in Electronic Commerce (or from the date of receiving or commencement of supply of the products if such supply occurs after receiving the document). However, if there are other provisions regarding order cancellation in the relevant laws and regulations, such provisions shall prevail.2. Users may not return or exchange delivered products in the following cases:① When products are lost or damaged due to reasons attributable to the user (excluding cases where packaging is damaged to check the contents of the product)② When the product's value has significantly decreased due to use or partial consumption by the user③ When the product's value has significantly decreased due to the passage of time, making resale difficult④ When the packaging of reproducible products has been damaged⑤ When products are custom-made to order, and cancellation would cause irreparable damage to the seller, provided that this fact was separately notified in advance and the member's written consent (including electronic documents) was obtained3. Notwithstanding paragraphs 1 and 2, users may cancel orders within 3 months from the date of receiving the product, or within 30 days from the date they became aware or could have become aware that the product differs from advertised content or contractual terms.4. When the Company receives a request for exchange or return from a user, it shall immediately notify the seller of this fact.5. Even if a user requests an exchange under paragraphs 1 or 3, if replacement stock is unavailable, the exchange cannot be processed and the request will be treated as a return.6. Shipping costs and other expenses required for returns or exchanges shall be borne by the party at fault (either the user or seller). The seller bears these costs in cases of product defects or incorrect delivery, while the user bears the costs for returns or exchanges due to change of mind.7. In cases where the Company determines that automatic refund processing is necessary according to its operational policies, such as when a seller fails to process a member's cancellation request after payment but before shipping, the Company may cancel the transaction and refund the payment to the member.8. If a member does not return the product within 14 days from the date of requesting an exchange or return, or if the member cannot be reached by phone, email, or other means of communication, the exchange or return request will become invalid.9. When processing refunds due to order cancellations, the Company shall take necessary measures for refund within 3 business days from the date of cancellation (or from the date the seller receives the returned product). For payments made by credit card or other electronic payment methods, refunds will be processed through cancellation of the original payment method, and cash refunds are not available.Article 26 (Effects of Cancellations)1. Upon cancellation of an order, the Company shall refund the payment received from the user within three business days of receiving the returned goods.2. Refunds for payments made via credit card or electronic payment methods will be processed by canceling the respective transactions. No cash refunds will be issued for such payment methods.3. In cases of defects or incorrect deliveries not caused by the user, the seller bears the return shipping costs. However, for cancellations or exchanges due to the user's change of mind or fault, the user bears the costs.Article 27 (Copyright and Usage Restrictions)1. The Company implements policies to protect copyrights and expects users to comply with them.2. Reviews and other user-generated content may be displayed for a certain period as per the Company's policies and may later be removed or suspended.3. Copyright and intellectual property rights for the service and its content created by the Company belong to the Company.4. Users may not reproduce, distribute, or exploit the Company's content or services without prior consent. Users are liable for any violations.5. Users may report infringements of their rights to the Company, which will take appropriate action in accordance with relevant laws.Article 28 (Membership Levels)1. The Company may classify members into levels based on service usage and grant different benefits accordingly, as specified in the Company's policies.2. If a member abuses the membership level system, the Company may downgrade their level or restrict their membership.3. Members may challenge their assigned levels by providing supporting documents. The Company will review and adjust levels if necessary.Article 29 (Company's Limitation of Liability)1. The Company is not responsible for service interruptions due to force majeure events such as natural disasters, wars, or technical failures.2. The Company is not liable for service disruptions caused by user or third-party faults.3. The Company does not guarantee specific outcomes or benefits from using the service.4. The Company is not responsible for the accuracy or reliability of content posted by users or sellers.5. The Company is not liable for disputes between users and sellers or third parties arising from transactions through the platform.6. The Company is liable for damages only in cases of willful misconduct or gross negligence.Article 30 (Dispute Resolution)1. The Company operates a dispute resolution system to address valid complaints and mediate conflicts between users and sellers. Users are expected to cooperate in good faith.2. The Company prioritizes resolving user complaints promptly but will notify users if immediate resolution is not possible.3. Disputes related to electronic commerce may be referred to dispute mediation bodies designated by the Fair Trade Commission or local government authorities.Article 31 (Governing Law and Jurisdiction)1. These Terms, services, and any disputes are governed by the laws of the Republic of Korea.2. For disputes involving the Company, jurisdiction is determined by the applicable laws of the Republic of Korea.
